1. Agreement Overview
These Terms and Conditions govern software development, website design, eCommerce engineering, automation systems, and white-label agency partnerships provided by Zooye Info Technologies (“Zooye”, “we”, “us”). By approving a scope proposal or initiating project work, you agree to these terms.
2. Project Scoping & Deliverables
All projects are structured around fixed technical milestone deliverables. Any changes or expansions beyond the approved scope document are discussed upfront and estimated via mutual change requests to prevent unforeseen budget overruns.
3. Intellectual Property (IP) Ownership
You retain 100% intellectual property ownership of all custom source code, UI designs, and database structures developed for your project upon full settlement of project milestones. Zooye retains no residual copyright over your bespoke code or assets.
4. White-Label Agency Partnerships & Confidentiality
For agencies partnering with us under our white-label framework, Zooye acts as your silent development contractor. We work under mutual Non-Disclosure Agreements (NDAs). We will never contact your end-clients directly, claim authorship on public portfolios without written authorization, or disclose agency rates.
5. Warranty & Post-Launch Stabilization
Every production website or application engineered by Zooye includes a complimentary post-launch stabilization support window. We resolve any functional defects or edge-case bugs emerging under real-world traffic at zero additional cost within this window.
6. Governing Law & Jurisdiction
These terms shall be governed by and construed in accordance with the laws of India, under the jurisdiction of courts in Tamil Nadu, India.
